1. Services Offered

AppReadyNow specializes in developing various types of applications, including no-code SaaS apps, marketplace apps, and social networking apps (collectively, the "Services"). We collaborate closely with you throughout the development process to create applications tailored to your requirements. For each project, we may enter into a separate Service Level Agreement (SLA) that outlines specific performance metrics, timelines, and responsibilities related to the development Services. In the event of any conflict between these Terms and an SLA, the terms of the SLA shall prevail.

2. Ordering and Payment

Orders: You can place an order for our Services through our Site. The specifics of your desired application and the corresponding price will be mutually agreed upon before the commencement of any development work and may be detailed in a separate agreement or SLA.Pricing: The pricing for our Services is determined based on the complexity and scope of the app development project. The final price will be communicated to you and agreed upon in writing (which may include email) before the project begins.Payment: Payments will be processed through the methods specified on our Site or as otherwise agreed upon in writing. The payment schedule and terms, including any milestones and associated payments, will be outlined in our agreement or SLA with you.

3. User Information

When you make a purchase through our Site, we collect basic information necessary to process your order and communicate with you, including your name, email address, phone number, and address. We are committed to protecting your privacy in accordance with applicable Indian law. While our current services do not involve ongoing user accounts or in-app data collection, if the applications we develop for you require the collection of end-user data, you are solely responsible for ensuring that your app has a comprehensive and legally compliant privacy policy.

4. Intellectual Property Rights

Upon full and timely payment for the Services as outlined in our agreement or SLA, you will exclusively own all intellectual property rights, including but not limited to copyright, design rights, and any patents, in and to the applications developed by AppReadyNow for you. We hereby assign all such rights to you upon receipt of full payment. AppReadyNow retains the right to showcase the completed application in our portfolio for promotional purposes, subject to any confidentiality agreements in place.

5. No Warranties and Disclaimers

Given the collaborative nature of our Services, where you are actively involved throughout the development process, and the bespoke nature of the applications we create, we provide our Services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, AppReadyNow expressly

disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the application will be error-free, uninterrupted, or completely secure.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AppReadyNow, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of our Site or the Services purchased, even if we have been advised of the possibility of such damages. Our total cumulative liability to you for any and all claims arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to AppReadyNow for the specific Services that gave rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless AppReadyNow and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the developed application; (b) any breach by you of these Terms or any SLA; (c) any claim that your application infringes upon the intellectual property rights or other rights of any third party; or (d) your violation of any applicable law or regulation in connection with your use of the Services or the developed application.

8. Termination

Either party may terminate the service agreement outlined in these Terms or a separate SLA under the following conditions:

By You: You may terminate the Services if AppReadyNow materially breaches these Terms or an SLA and fails to cure such breach within a reasonable period after receiving written notice from you.

By Us: AppReadyNow may terminate the Services if you materially breach these Terms or an SLA, including but not limited to failure to make timely payments, or if we are unable to proceed with the development for reasons beyond our reasonable control. Upon termination, you shall pay AppReadyNow for all Services performed up to the date of termination, and any provisions of these Terms or an SLA that by their nature should survive termination shall continue in full force and effect.

9. Governing Law and Dispute Resolution

These Terms and any separate agreements or SLAs shall be governed by and construed in accordance with the laws of India, specifically the laws of Uttar Pradesh, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms, any SLA, or our Services shall be subject to the exclusive jurisdiction of the courts located in Kanpur, Uttar Pradesh. Before initiating any legal proceedings, we encourage you to first contact us directly to seek a good-faith resolution to any concerns.

10. AmendmentsWe reserve the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site and

purchase of our Services after any such changes constitutes your acceptance of the revised Terms. The "Last Updated" date at the top of these Terms will indicate when the latest changes were made.
