Both services are delivered on a project-by-project basis and may include a separate Service Level Agreement (SLA) that outlines specific deliverables, timelines, payment terms, and responsibilities. In the event of a conflict between these Terms and any SLA, the SLA shall take precedence.

2. Ordering and Payment

Orders: You may place an order for either AppReadyNow or Growth Design Studio services via our respective websites. Each engagement will be preceded by mutual agreement on scope, deliverables, and cost, which may be formalized in writing or through an SLA.

Pricing: Pricing is determined based on project complexity, scope, tools required, and timeline. Quotes will be provided in writing and agreed upon before development or automation work begins.

Payment: Payment methods, schedules, and milestones will be clearly outlined in our mutual agreement or SLA. We typically follow a phased payment structure tied to deliverables.

3. User Information

When you request services or make a purchase through our Sites, we collect personal information necessary to process your order and communicate with you — such as your name, email address, phone number, and business details.

While our websites do not require user accounts, if the apps or automation systems we build for you involve collecting data from your users, it is your responsibility to ensure that your final product includes a valid and legally compliant privacy policy.

4. Intellectual Property Rights

Upon full and timely payment for the Services, all intellectual property rights in the deliverables — including code, automations, workflows, and user interfaces — will be assigned exclusively to you.

We reserve the right to feature completed work in our portfolio, showcase case studies, or mention anonymized client outcomes for promotional purposes unless explicitly restricted by NDA or SLA.

5. No Warranties and Disclaimers

Our services — whether app development or AI automation — are provided on an “as is” and “as available” basis. Due to the collaborative and custom nature of our offerings, we do not guarantee that the resulting app or system will be free from all errors, operate without interruption, or meet all third-party compliance requirements unless specified in writing.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Sites or Services.

Our total liability shall not exceed the amount you paid for the specific project or service that gave rise to the claim.

7. Indemnification

- Breaches of these Terms or an SLA

- Third-party claims related to your content or business operations

- Violations of law related to your use of the Services

8. Termination

Either party may terminate a service agreement under the following conditions:

By You: If we materially breach these Terms or a related SLA and do not resolve the issue within a reasonable timeframe.

By Us: If you fail to meet your payment obligations or violate any part of the agreement, or if we’re unable to proceed due to force majeure or other uncontrollable conditions.

Upon termination, we are entitled to payment for work completed up to that point.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, specifically those of Uttar Pradesh. Any disputes shall fall under the jurisdiction of the courts in Kanpur, Uttar Pradesh.

We encourage resolving any disagreements through direct communication and good-faith negotiations before pursuing legal action.

10. Amendments

We reserve the right to revise these Terms at any time. Updates will take effect immediately upon posting. The "Last Updated" date reflects the most recent change. Continued use of our Sites and Services implies acceptance of the updated Terms.
